End-User License Agreement

This End-User License Agreement ("Agreement") is between you ("Licensee") and Lodestar Audio ("Licensor") for the Lodestar Audio audio plug-ins and related files ("Software"). By installing, activating, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

1. License grant

Licensor grants you a non-exclusive, non-transferable license to install and use the Software on computers you own or control, for your own music production — personal or commercial. Audio you create with the Software is yours; no further license, credit, or royalty is owed.

2. License key and activation

A license key unlocks the full version and is issued to you for your own use only. The license may be activated on a limited number of machines; you can deactivate a machine from within the plugin to free a slot and move your license to another computer.

3. Demo

Without a valid license the Software runs in demo mode (with periodic audio interruptions) and is for evaluation only.

4. Restrictions

You may not: (a) redistribute, sell, rent, lease, sublicense, or share the Software or your license key; (b) reverse engineer, decompile, disassemble, or circumvent the licensing, except where that restriction is prohibited by law; (c) remove or alter any proprietary notices.

5. Ownership

The Software is licensed, not sold. Licensor retains all right, title, and interest in the Software, including all intellectual property.

6. Updates

Updates, if and when provided, are governed by this Agreement. Your purchase includes free updates as described at the time of purchase.

7. No warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU USE IT AT YOUR OWN RISK.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM THE SOFTWARE. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

9. Termination

This license terminates automatically if you breach it. On termination you must stop using and remove the Software.

10. Governing law

This Agreement is governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules.

11. Entire agreement

This Agreement is the entire agreement between you and Licensor regarding the Software and supersedes any prior understanding.
